As a Company downscales or restructures, they need to remove inactive Members (for CC’s) and Directors (for Pty’s) in some cases. In other cases the Member / Director wants to resign as he or she is no longer part of the business. To change a Company’s Directorship a ‘Directors Amendment’ process at CIPC is required. This will bring about the Director’s change on the Company’s Registration Documentation at CIPC. We provide this Amendment service.
(1) No function / silent partner
If a Director has no specific function in the Company which is of value to the Company’s growth, it is best to remove the Director from the Company. A Buy-out may be required in existing Companies.
(2) Legal ownership and responsibility
If a Director is removed from the Company, he / she no longer has the personal responsibility under the Companies Act of 2008 to be involved in the management of the Company. After this process is done, the old Director will NOT be able to become a signatory on the Company’s behalf at the bank or for contracts,

(2) Documentation preparation
Our CIPC Department will then prepare all the documentation required by your Company for this service.
(3) Amendment submission at CIPC
Once documentation is setup we will submit your amendment at the CIPC and await their feedback.
(4) Company Certificate Delivery
CIPC will amend your Company Certificate and send it to us. Your Company Certificate will be made available on your Customer Account (we will notify you via email) – with additional information about your shareholding.
